Help Us Redefine Craft Spirits

Prohibition Liquor Co. began with a simple goal: to craft the best gin we had ever tasted. In 2015, we started in a small backyard in the inner suburbs, but our passion quickly propelled us to national and international distribution. Soon after, we opened our first venue in the heart of Adelaide’s CBD.

Since then, Prohibition has grown into one of Australia’s most awarded and respected distilleries, earning hundreds of international accolades. Our thriving venues and award-winning spirits are a testament to our dedication, focus, and community spirit.

Now, we’re embarking on an exciting new chapter—expanding to the historic Seppeltsfield Distillery in the Barossa Valley. This iconic location will be transformed into a world-class bar, function space, and museum, bringing our craft and story to an even greater audience.

Join us as we continue to push the boundaries of craft spirits.

Question time

We'd love to answer your questions, we'll have one of the OnMarket team or the company representative of the offer get back to you asap. So ask away ...

liquidity and dilution

You are valuing the company at A$29 million, but I can't see a balance sheet. You do not discuss liquidity, so if I give you ten grand how do I expect to liquidate my interest?

Patric B (OnMarket member) on 28/02/2025

Hello Patric
The Balance Sheet is in the Financials in the Offer Document. The liquidity of shares in a CSF raise is dependent on the whole business into the future. Think of this as a long-term investment where you feel part of the company and come along for the journey with us. If there is a sale event down the track, everyone benefits as we are all shareholders. If there are dividends, again we all benefit. However as a growth-stage business, we are likely to re-invest into the business to build for an eventual sale or IPO. We cannot promise anything as this is the nature of business, nor are allowed to publish forward financial projections as a CSF raise. Invest if you want to be part of a movement and enjoy the ride with us. However, for investors purely focussed on short-term returns, this may not be the investment for them. Consider the risks and by all means if you believe it is for you, we'd love to have you on-board as part fof the Prohibition Investor family! I hope this answers your question. Best regards, Adam

Liquidity

Hi,
For example, If after several year of good investment and then I decide to liquidate my shares at a profit, where or who can buy my shares?
Please clarify. Thank you.

Jose T (OnMarket member) on 04/03/2025

Hello Jose
In response to your liquidity question. Crowdfunded shares are unlisted, therefore they cannot be openly traded like listed stocks. However, Section 7 of Prohibition Liquor Co Ltds Constitution (available via the OnMarket raise platform) governs transfer of shares in the company. The Board reserves the right to approve share transfer requests, as deemed appropriate. Approval of a genuine transfer request will not be unreasonably withheld. We will address requests for transfers of shares on a case-by-case basis. I hope this helps to answer your question.
Regards Adam

ASX listing

Do you have any intentions to one day possibly list on the ASX

Edward (Ted) F (OnMarket member) on 04/03/2025

Hello Ted
At this stage we don't have the intention of ASX listing, as we are focussed on growing the company to its full potential. But we don't count it out as one of many options for the company in the future.
Regards Adam
